Acceptance of Terms By accessing or using KrosAI's services ("Services"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and KrosWeb Enterprise Inc. ("KrosAI", "we", "us", or "our"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services. ## 2. Description of Services KrosAI provides AI-native phone infrastructure for emerging markets, including but not limited to: - Local phone number provisioning across multiple countries including Nigeria, Ghana, Kenya, Rwanda, UAE, and Latin American markets - AI agent integration capabilities with platforms including OpenAI, Vapi, Retell, LiveKit, and custom webhook endpoints - Real-time call streaming with sub-second latency - Call analytics, routing, and compliance management - API access for programmatic control of telecommunications resources ## 3. Account Registration and Security ### 3.1 Account Creation To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. ### 3.2 Account Security You are responsible for safeguarding your account credentials, including API keys and access tokens. You agree to immediately notify KrosAI of any unauthorized use of your account or any other breach of security. KrosAI will not be liable for any loss or damage arising from your failure to protect your account credentials. ### 3.3 Account Termination We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion, with or without notice. ## 4. Acceptable Use Policy You agree not to use the Services to: - Violate any applicable local, state, national, or international law or regulation - Engage in fraudulent activities, including but not limited to phishing, vishing, or any form of telecommunications fraud - Transmit any material that is defamatory, obscene, threatening, harassing, or otherwise objectionable - Interfere with or disrupt the integrity or performance of the Services or third-party data - Attempt to gain unauthorized access to the Services, other accounts, or computer systems - Make unsolicited calls or send unsolicited messages in violation of applicable telemarketing laws - Impersonate any person or entity or misrepresent your affiliation with a person or entity - Use the Services for any purpose that is harmful to minors - Engage in activities that could damage KrosAI's reputation or relationships with carriers and regulators ## 5. Telecommunications Compliance ### 5.1 Regulatory Compliance You acknowledge that telecommunications services are subject to regulation in various jurisdictions. You agree to comply with all applicable telecommunications laws and regulations in the countries where you use the Services, including but not limited to caller ID requirements, do-not-call registries, and recording consent laws. ### 5.2 Number Usage Phone numbers provisioned through the Services remain the property of KrosAI and its carrier partners. You are granted a license to use these numbers for the duration of your subscription. Numbers may be reclaimed if your account is terminated or if usage violates these Terms. ### 5.3 Emergency Services The Services are not intended to support or carry emergency calls to emergency services (such as 911, 112, or equivalent services). You acknowledge that KrosAI does not provide access to emergency services and agree not to use the Services for such purposes. ## 6. Payment Terms ### 6.1 Pricing Usage-based pricing applies to all Services. Current pricing is published on our website and includes per-number monthly fees and per-minute usage charges. Prices are subject to change with 30 days' notice. ### 6.2 Billing You agree to pay all fees associated with your use of the Services. Fees are billed monthly in arrears based on actual usage. Payment is due within 15 days of invoice date. All amounts are in US dollars unless otherwise specified. ### 6.3 Late Payment Overdue amounts will accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts with outstanding balances exceeding 30 days. ### 6.4 Taxes All fees are exclusive of taxes. You are responsible for all applicable taxes, including VAT, GST, and telecommunications surcharges, except for taxes based on KrosAI's net income. ## 7. Service Level Agreement ### 7.1 Uptime Commitment KrosAI commits to 99.9% uptime for the core API and call routing services, measured monthly. This excludes scheduled maintenance, which will be announced at least 48 hours in advance. ### 7.2 Service Credits If we fail to meet the uptime commitment, you may be eligible for service credits upon request. Credits are calculated as a percentage of your monthly fees based on the duration of the outage. Maximum credit per month is 30% of that month's fees. ## 8. Intellectual Property ### 8.1 KrosAI Property The Services, including all software, APIs, documentation, and related materials, are the exclusive property of KrosAI and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. ### 8.2 Customer Data You retain all rights to data you transmit through the Services ("Customer Data"). You grant KrosAI a limited license to use Customer Data solely to provide and improve the Services. ### 8.3 Feedback Any feedback, suggestions, or ideas you provide regarding the Services may be used by KrosAI without obligation to you. ## 9. Confidentiality Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information includes, but is not limited to, API keys, pricing terms, business strategies, and technical specifications. ## 10. Limitation of Liability ### 10.1 Exclusion of Damages TO THE MAXIMUM EXTENT PERMITTED BY LAW, KROSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES. ### 10.2 Liability Cap KROSAI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KROSAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. ## 11. Indemnification You agree to indemnify, defend, and hold harmless KrosAI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data. ## 12. Dispute Resolution ### 12.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. ### 12.2 Arbitration Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Wilmington, Delaware. ## 13. Modifications to Terms We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. ## 14. General Provisions ### 14.1 Entire Agreement These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and KrosAI regarding the Services. ### 14.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. ### 14.3 Waiver No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. ### 14.4 Assignment You may not assign these Terms without KrosAI's prior written consent. KrosAI may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. ## 15.
